2022-1994 RESOLUTION NO. 2022-1994
A resolution authorizing the City of Janesville and its Administration to enter into
a Purchase Agreement with Rockstep Janesville LLC to acquire land for the
Woodman's Community Center and related purposes.
WHEREAS, Wis. Stats. §§ 62.22 (1), 62.23 (17)(a), 62.23 (17)(b), 62.11(5), Chapter 32,
and other pertinent Wisconsin Statutes permit the City's purchase and acquisition (by gift
or otherwise), development, ownership, improvement, and use of real property for various
public purposes; and
WHEREAS, the City desires to purchase, acquire, own in fee simple, develop, improve,
and use certain real property located upon and currently a part of 2500 Milton Avenue in
the City of Janesville, County of Rock, State of Wisconsin, from the owner, Rockstep
Janesville LLC, for an indoor athletic and conference facility to include: multiple ice
sheets, multi-purpose/flexible use space, outdoor parking, and related public purposes;
and
WHEREAS, the area is more particularly described in the attachments hereto (hereinafter
the Subject Property); and
WHEREAS, the City Administration and Rockstep Janesville LLC have negotiated a
certain Real Estate Purchase Agreement By and Between Rockstep Janesville LLC and
the City of Janesville for the Sears Building at 2500 Milton Avenue, Janesville,
Wisconsin (hereinafter the "Purchase Agreement") for said acquisition, a true and correct
photocopy of which is attached hereto; and
WHEREAS, the Janesville Plan Commission has reviewed this proposed acquisition and
uses at their meeting on October 21, 2019, and found it to be consistent with City plans,
noting they had not reviewed the financial aspects of the transactions; and
WHEREAS, the Common Council hereby find the Purchase Agreement and proposed
public purposes and uses of benefit to the community and in the public interest.
NOW, THEREFORE, BE IT RESOLVED by the Common Council that the City of
Janesville and its Administration are authorized and empowered to enter into the
Purchase Agreement with the owner to acquire certain real property described above for
the Woodman's Community Center, parking, and public purposes in substantially the form
attached hereto, and further authorize and empower entering into the other agreements
contemplated by the Purchase Agreement, those subject to approval of the City Manager;
and
BE IT FURTHER RESOLVED, that the City Manager and/or his designee(s), on behalf
of the City of Janesville and its Common Council, is/are hereby authorized and
empowered to negotiate, draft, modify, review, execute, and enter into additional
agreements; record, file, and/or make minor modifications and/or amendments to any and
all documents, papers, forms, and agreements pertaining hereto; and to take whatever
other actions as the City Manager may determine, from time to time and at any time,
necessary and/or desirable to effectuate the intent of this Resolution.
