A resolution authorizing purchase, shipping and updating excess Election Equipment
WHEREAS, the Common Council authorizes the Capital Improvement Plan for 2027 that includes
the purchase of new election tabulators, and has been determined through the Rock County Clerk
to be ES&S DS-300 tabulators, with a purchase hold of $105,000.00; and
WHEREAS, the Common Council intends to fund this project through the General Fund Note
Issue 2027; and
WHEREAS, such proposed public projects and purposes and the issuance of such
promissory notes will be beneficial to the city and in the best interest of the community; and
WHEREAS, the city has the opportunity to purchase eight (8) used ES&S DS-300 ballot
tabulators from the Election division in Washington County, UT, through a sale of excess
inventory and at a discount of 40%, or $3,000 each; and
WHEREAS, Washington County, UT is selling this equipment as is because it no longer needs
them in the election operations and has priced the tabulators at $24,000 for all machines plus
shipping and upgrade. The city clerk plans to utilize Coastal Moving services using a chain of
custody to securely ship the equipment in October 2026 at a cost of $3,025. The city clerk also
has obtained a quote from the manufacturer to upgrade the equipment at a cost of $5,115; and
WHEREAS, the city clerk is requesting to purchase the equipment at the discounted rate for
future implementation due to the current equipment reaching its end of life at a cost not to
exceed $30,000.
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of Janesville that
this authorization commits the Common Council to include up to $105,000 in tax exempt
obligation promissory note issue for this public purpose as permitted by the Internal Revenue
Code of 1986. This declaration of official intent to reimburse the original expenditure with part of
the proceeds from the reimbursement bond is consistent with the budgetary and financial
circumstances of the City. The purpose of this Resolution is to satisfy the “official intent”
requirement of Treasury Regulation 26 CFR Section 1.150-2
BE IT FURTHER RESOLVED, by the Common Council of the City of Janesville that:
1.All above recitals are reiterated and incorporated herein as if fully set forth verbatim; and
2.The proposed purchase is hereby approved and the City Administration is fully authorized,
the City Council authorizes the Clerk-Treasurer to purchase, ship and upgrade eight (8) ES&S
DS-300 tabulating machines up to $30,000.00 ; No funds from sources other than the notes or
available funds identified above are, or are expected to be, reserved, allocated on a long-term
basis, or otherwise set aside by the City of Janesville for this acquisition or project, except as
permitted by the Internal Revenue Code of 1986, as amended. This declaration of official intent
is consistent with the budgetary and financial circumstances of the City of Janesville. The purpose
of this Resolution is to satisfy the “official intent requirement” of Treasury Regulation Section
1.150-2.

A RESOLUTION AUTHORIZING THE SALE OF CERTAIN ELECTION EQUIPMENT
AND SUPPLIES
WHEREAS, Washington County Code Section 1-12-4(B)(6) authorizes the County
Purchasing Agent to oversee the disposal of surplus property that is no longer needed by the
County but still has some residual value;
WHEREAS, the Elections Division of the Clerk-Auditor’s Office (“Elections Division”)
purchased eight (8) ES&S DS300 Poll Place Scanners and associated equipment (collectively, the
“Equipment”) for election services in the calendar year 2024;
WHEREAS, the Equipment is no longer needed for the County election operations and has
been determined to be surplus property;
WHEREAS, the County Purchasing Agent recommended that the Equipment be sold
through a nationwide platform designed for election administrators to advertise and sell election
equipment;
WHEREAS, the Elections Division advertised the Equipment for sale on the U.S. Election
Assistance Commission Clearinghouse Roundtable, and the City of Janesville, Wisconsin
expressed interest in purchasing the Equipment; and
WHEREAS, it is in the best interest of Washington County to sell the surplus Equipment
at fair market value and without public sale, bid, or auction.
NOW, THEREFORE, BE IT RESOLVED by the Washington County Commission that
the sale of the Equipment to the City of Janesville, Wisconsin, without public sale, bid, or auction,
is hereby approved, and the Purchase Agreement attached hereto as Exhibit A is also approved
and shall be executed to complete the sale and transfer of the Equipment.

PURCHASE AGREEMENT
(ELECTION EQUIPMENT AND SUPPLIES – ES&S DS300s)
This PURCHASE AGREEMENT (“Agreement”) is entered into as of
____________________, 2026 (the “Effective Date”), by and between Washington County, Utah
(“Washington County”) and the City of Janesville, Wisconsin (“Janesville”). At times herein,
Washington County and Janesville are referred to collectively as the “Parties” or each as a “Party.”
RECITALS
WHEREAS, Washington County purchased eight (8) ES&S DS300 Poll Place Scanners
and associated materials (collectively, the “Equipment”) for election services in the calendar year
2024;
WHEREAS, the Equipment is no longer needed for the County election operations and has
been determined to be surplus property;
WHEREAS, Janesville has expressed interest in acquiring the Equipment for its election
administration needs;
WHEREAS, the Washington County Commission has approved the surplus sale of the
Equipment by resolution; and
WHEREAS, Washington County and Janesville desire to enter into this Agreement to set
forth the terms and conditions governing the transfer of the Equipment.
AGREEMENT
NOW, THEREFORE, in consideration of the mutual promises, and covenants contained
herein, the Parties agree as follows:
1. Sale of Equipment. Washington County agrees to sell, and Janesville agrees to
purchase, the Equipment described in Exhibit A, attached hereto and incorporated herein by this
reference.
2. Purchase Price. The total purchase price for the Equipment is $24,000.00. The
Purchase Price must be paid in full prior to pick up of the Equipment.
3. Condition of Equipment; No Warranties. Janesville acknowledges that the
Equipment is used election equipment and agrees to purchase the Equipment as is, where is, and
with all faults. Washington County makes no representation or warranty, express or implied,
concerning the Equipment, including any warranty as to its condition, merchantability, fitness for
a particular purpose, continued manufacturer support, certification, or compliance with any
federal, state, or local law applicable to Janesville’s possession or use of the Equipment.
Janesville is solely responsible for determining whether the Equipment is certified, approved,
configured, or otherwise legally permissible for use in elections conducted by Janesville or
within Janesville’s jurisdiction.
4. Election Data and Configuration. Before transferring possession of the
Equipment, Washington County shall remove, or cause to be removed, election data and other
information specific to Washington County stored on the Equipment.
5. Transfer of Possession. Janesville shall take possession of the Equipment at the
Washington County Administration Building located at 111 East Tabernacle Street, St. George,
Utah 84770, at a time and date mutually agreed upon by the Parties.
6. Risk of Loss. Upon transfer of possession of the Equipment, Janesville assumes
all risk of loss, theft, damage, or destruction of the Equipment and shall be solely responsible for
complying with any applicable chain-of-custody and security requirements.
7. Security During Transportation. Janesville is responsible for providing any seals,
straps, containers, or other security materials necessary for transportation of the Equipment.
Upon transfer of possession, Janesville assumes responsibility for the security and chain of
custody of the Equipment. At time of pickup, the Parties shall complete and execute the Chain of
Custody Record attached hereto as Exhibit B.
8. No Continuing Obligations. Following transfer of the Equipment, Washington
County shall have no obligation to provide maintenance, repairs, replacement parts, technical
assistance, software, licensing, election programming, training, or other support relating to the
Equipment. Nothing in this Agreement transfers any software license, manufacturer agreement,
maintenance agreement, intellectual property right, or other contractual right that Washington
County does not have authority to transfer.
9. Compliance with Law. Each Party is responsible for complying with the laws,
regulations, policies, certification requirements, and other requirements applicable to that Party
in connection with this Agreement. Janesville is solely responsible for determining and
complying with the requirements applicable to its possession and use of the Equipment following
transfer.
10. Entire Agreement. This Agreement, including any exhibits incorporated herein,
constitutes the entire agreement between the Parties concerning the sale of the Equipment and
supersedes all prior or contemporaneous negotiations, representations, or agreements concerning
the Equipment.
11. Amendment. This Agreement may be amended only by a written instrument
signed by authorized representatives of both Parties.
12. Governing Law; Jurisdiction and Venue. This Agreement shall be governed by
and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-
laws principles. The Parties agree that any action, suit, or proceeding arising out of or relating to
this Agreement shall be brought exclusively in the Fifth Judicial District Court in and for
Washington County, State of Utah.
13. Authority. Each person signing this Agreement represents that the person has
authority to execute this Agreement on behalf of the Party for whom the person signs.
14. Counterparts and Electronic Signatures. This Agreement may be executed in
counterparts, each of which shall be deemed an original and all of which together constitute one
instrument. Electronic signatures shall have the same force and effect as original signatures.
15. Governmental Immunity. Nothing in this Agreement shall be construed as a
waiver by Washington County of any immunity, defense, limitation of liability, or other
protection available under the Governmental Immunity Act of Utah, Utah Code Title 63G,
Chapter 7, or other applicable law.
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective
Date.

UNDERSTANDING YOUR ESTIMATE
Thank you for choosing Coastal Moving Services, LLC. We are happy to provide you, the
Customer, this estimate based on the specific list of items and services you requested at the time
this estimate was prepared. This BINDING estimate is based upon the specific items to be moved
and services ordered as listed on the estimate. Your estimated price will not change unless
you order additional services, add additional items to be moved, or additional cubic feet or
weight to be moved which are not specifically listed on this estimate. This document is an
estimate only and not a contract for moving services; it is only binding for the specific services
and items listed here within; any deviation of the services listed and ordered will result in a new
estimate being issued. In such cases, in accordance with 49 CFR § 735.403(a)(6(ii) a new
estimate must be executed prior to any services being performed.
This estimate includes the following services to be performed by the carrier:
• Transportation of goods with either a 26 ft. straight truck or 18-wheeler.
• Disassembly of all standard furniture required for safe transportation.
• Wrapping of all furniture with quilted moving blankets.
• Itemized inventory indicating condition at origin.
• Loading & unloading of all goods.
• All transportation, taxes, tolls, and mileage
• Standard valuation protection based on 0.60 cents per lb. per article.
• 30 days free (Excluding Intrastate services) storage in a storage facility with free redelivery
to destination upon request and must be added to the estimate at the time of booking.
• No charge for packing tape and moving pads.
• No date change penalties if your request is made more than 7 days before your originally
scheduled pick-up date
Note: Elaborate furniture items that need to be disassembled and/or reassembled may require a
3rd party professional servicing or additional labor and should be disclosed to your estimator in
advance of the move to be included on the estimate. Disconnecting and reconnecting of

appliances and electronics are not included in the estimate. Reassembly of any item is subject to
the availability of tools and/or parts being available at delivery. Packing materials are available at
an additional charge. If the packing materials needed are not specified on this estimate prior to
pick up additional charges for material and labor may be applied.
Optional Accessorial Services and Additional fees (if applicable to the move): If you require a
one day pick up window a fee of $400 will be applied. It is customary for the carrier to offer
additional service options to the customer. Optional services include, but are not limited to,
storage, packing materials, unpacking, appliance servicing, shuttle, long carry, rigging hoisting
and lowering, wooden/cardboard crating, exclusive use of vehicle, guaranteed delivery, etc. If a
customer orders an additional service or an additional service is required to complete the move,
then the charge for the service will be added to the final bill. Optional Accessorial post contract
services not included in your estimate include:
• First flight of stairs is included (10 steps), each additional flight/landing is $75.00.
• Long carry: First 100 feet are included; each additional 100 feet will be charged $75 per
100 feet.
• Shuttle service: if a semi-trailer cannot get reasonably close to a building or house for
loading/unloading a shuttle truck may be required to perform relocation at a minimum
charge of $350 and up according to your total cubic feet/weight ($1 per cf).
• Packing of fragile/delicate items (such as ceramics, TVs, glass, etc.); packing and crating
services not already listed within proposal; loading of bulky items (such as a motorcycle,
pianos, kayaks, gun safe, large toolbox, glass furniture, grandfather/grandmother clocks,
exercise equipment, mechanical furniture etc. If certain appliances are digital, crating
them might be necessary).
• Packing supplies such as boxes, bubble wrap, etc.
• Storage: any additional month will be charged at $0.75 per total cubic footage ($225
minimum). When ready to come out of storage please send an email to
customerservice@coastalmovingservices.com and call (561) 210-5051
• For full packing service: All labor and materials to professionally pack all boxes, fragile
items, and furniture listed. If additional items are added at time of pick up, then the total
price for full-service packing will be increased and adjusted by the guaranteed rate
provided. A new agreement will be presented at time of pick up. Full packing services are
charged at $1.25 per cubic foot and do not include any additional charges for bulky items.
